media Consent and release form

This Media Release and Consent Form (“Agreement”) is entered into by the undersigned individual (“Releasor”) and Whole Lotta Enterprises, LLC (“WLE”), an Oregon limited liability company, located at 216 COMMERCIAL ST NE, SALEM, OR, 97301.

1. Scope of Media

This Agreement applies to all forms of media and content now known or hereafter developed, including but not limited to photographs, video recordings, audio recordings, digital images, written transcripts, interviews, testimonials, performances, and any other form of media (“Media”).

2. Purpose and Use

Releasor grants WLE the unrestricted right to record, capture, edit, use, reproduce, display, distribute, and publish the Media, in whole or in part, in connection with any of WLE’s business activities. This includes, but is not limited to:

  • Marketing, promotional, and advertising campaigns

  • Educational and training materials

  • Social media, websites, newsletters, and digital platforms

  • Film, television, podcast, and other entertainment productions

  • Public events, workshops, or performances facilitated by or in collaboration with WLE

Releasor acknowledges and agrees that the Media may be combined with other images, text, audio, graphics, or materials and may be edited or modified at WLE’s sole discretion.

3. Release of Rights and Compensation

Releasor grants WLE a royalty-free, irrevocable, non-exclusive, worldwide license to use the Media as described in this Agreement. Releasor waives any right to inspect or approve the finished product, including any written or electronic copy in which the Media may appear.

Releasor further acknowledges that participation and consent are voluntary and that no compensation or remuneration will be provided now or in the future for the use of the Media.

4. Release of Liability

Releasor hereby releases, discharges, and holds harmless WLE, its owners, members, employees, contractors, partners, successors, licensees, and assigns from any and all claims, demands, or causes of action that may arise from the use of the Media, including without limitation claims for defamation, invasion of privacy, infringement of rights of publicity, or copyright infringement.

5. Duration of Consent

This consent is granted in perpetuity unless explicitly revoked by Releasor in writing. Revocation shall be effective only upon written notice to WLE at the address listed below and shall not affect any use or distribution of the Media made prior to receipt of such notice.

6. Governing Law

This Agreement shall be governed by, and construed in accordance with, the laws of the State of Oregon, without regard to its conflict of laws principles.

7. Minors

If the individual ("Minor") present in the Media is under the age of 18, this Agreement must be reviewed and completed by a parent or legal guardian. The parent or guardian, by completing this form, affirms that they are legally authorized to grant this consent on behalf of the minor.

8. Contractual Exceptions

Notwithstanding any provision in this Agreement, WLE and the Releasor (or their legal guardian, where applicable) may enter into a separate, written contractual agreement that specifies different terms regarding the use, scope, duration, compensation, or other aspects related to the Media. In the event of any conflict between this general release and such a written agreement, the terms of the separate contractual agreement shall prevail.
